CDN may change, add, or remove portions of these Terms of Use at any time, in its sole discretion. It is your responsibility to review these Terms of Use before using the Site. Your continued use of the Site after changes are posted means you accept those changes. All purchases are governed by the Terms of Use in effect at the time of purchase and will remain in effect until updated Terms of Use are posted. As long as you comply with these Terms of Use (and any modifications), CDN grants you (“End User”) a personal, non-exclusive, non-transferable, non-sublicensable, limited privilege to access and use the Site.

All media (downloads or samples), software, text, images, graphics, user interfaces, music, videos, photographs, trademarks, logos, artwork, and other content on the Site (collectively, “Content”), including the design, selection, arrangement, and coordination of such Content, is owned or licensed by or to CDN and is protected by copyright, trade dress, trademark, and other intellectual property laws. Except as expressly permitted in these Terms of Use, no part of the Site and no Content may be reproduced, recorded, retransmitted, sold, rented, broadcast, distributed, published, uploaded, posted, publicly displayed, altered to create new works, performed, digitized, compiled, translated, or transmitted in any manner to any other computer, website, or medium, or for any commercial purpose, without CDN’s prior express written consent. Except as expressly stated, no rights or licenses are granted to you, and CDN reserves all rights not expressly granted. CDN disclaims responsibility and liability for your use of any Content obtained on or in connection with the Site.

Certain services offered on or through the Site require a My Account. You are responsible for maintaining the confidentiality of your account information (including your password) and for all activity that occurs under your account. You agree to notify CDN immediately of any unauthorized use of your account or password or any other breach of security. You may be liable for losses incurred by CDN or any other user due to someone else using your password or account. You may not use anyone else’s password or account at any time.

You may not attempt to gain unauthorized access to the Site. If you attempt to do so, assist others, or distribute instructions, software, or tools for that purpose, your My Account may be terminated. You agree to provide accurate, current, and complete information about yourself and your billing information as prompted by the registration process. You may not use any automated means (including any device, program, algorithm, or methodology), or any manual process, to access, acquire, copy, probe, test, or monitor any portion of the Site or Content, or to reproduce or circumvent the navigational structure or presentation of the Site, or to obtain materials, documents, or information through any means not intentionally made available by CDN. You agree not to take any action that imposes an unreasonable or disproportionately large load on the Site infrastructure or any systems or networks connected to the Site.

You also agree that CDN may, in its sole discretion and without prior notice, terminate your access to the Site and/or your My Account for any reason, including (without limitation):

• Attempts to gain unauthorized access to the Site or assisting others in doing so;
• Overcoming software security features that limit use of or protect Content;
• Discontinuance or material modification of the Site or services;
• Violations of these Terms of Use;
• Failure to pay for purchases;
• Suspected or actual copyright infringement;
• Unexpected operational difficulties; or
• Requests by law enforcement or other government agencies.

You agree CDN will not be liable to you or any third party for termination of access to the Site.

As described in our Privacy Policy, you must provide certain Personally Identifiable Information to use the Site, register, and make purchases. As a condition of registering and/or making any purchases or transactions, you represent that you have read our Privacy Policy and consent to the collection, use, and disclosure of your Personally Identifiable Information and Non-Personally Identifiable Information as described there. The Privacy Policy may change from time to time. As a condition of browsing the Site, using any features, or making any purchase, you agree to review the Privacy Policy prior to any initial or subsequent purchases.

By establishing a My Account and each time you make a purchase through the Site, you grant permission for CDN to contact you at your e-mail address. To stop receiving marketing emails, follow the opt-out instructions provided in those emails.

To purchase goods and/or services on the Site, you must be at least eighteen (18) years of age. Unless otherwise stated in an item description or policy, all sales are final and charges are nonrefundable.

Payments may be made by VISA, MasterCard, Discover Network, American Express, PayPal, Cashier’s Check, Company Check, Cash, Money Order, or Bank Wire Transfer. Unless expressly stated on the CDN site, we do not accept other payment methods. If we offer or accept additional payment methods, you agree to any restrictions and terms applicable to those methods.

Your PayPal or card issuer agreement governs your use of your designated payment method. YOU, AND NOT CDN, ARE RESPONSIBLE FOR PAYING ANY UNAUTHORIZED AMOUNTS BILLED TO YOUR CREDIT CARD BY A THIRD PARTY. You agree to pay all fees and charges incurred in connection with your purchases (including applicable taxes) at the rates in effect when charges are incurred. Unless you notify CDN of discrepancies within sixty (60) days after they first appear on your credit card statement, you agree those charges will be deemed accepted for all purposes. If CDN does not receive payment from your credit card issuer or its agent, you agree to pay all amounts due upon demand. You are responsible for governmental taxes imposed on your purchases, including sales, use, or value-added taxes. CDN will automatically charge and withhold applicable sales tax for orders delivered to addresses within Texas.

All shipments are arranged through CDN and are prepaid by the buyer. CDN allows buyers and their direct employees (with proper ID) to pick up orders at the CDN warehouse. Third parties appearing for pickup will be turned away. Transfer of ownership occurs when the item leaves the building door or dock. CDN is not responsible for damage to items or vehicles, or for injuries resulting from the loading or transportation of sold items.

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order and does not constitute confirmation of our offer to sell. CDN reserves the right, at any time after receipt of your order, to accept or decline your order for any reason. CDN also reserves the right, without prior notice, to supply less than the quantity ordered. Your order will be deemed accepted upon shipment of products or performance of services you ordered. Title to goods and all risk of loss passes to you upon delivery to the common carrier. Orders over $1,000 may require additional verification or information before acceptance.

CDN may refuse or cancel any orders for products and/or services listed at an incorrect price, rebate/refund, or containing other incorrect information or typographical errors. CDN may refuse or cancel such orders whether or not the order has been confirmed and payment submitted. If payment has been submitted and your order is canceled, CDN will issue a credit in the amount of the charge.

Price comparisons may appear on the Site to indicate relative savings. “LIST PRICE” is an estimated market price of a new, unused item. CDN makes no representation that a substantial number of these products have been sold or offered for sale at the list price. Actual retail prices may vary by location and time. Because CDN sells online on a national basis, it is not possible to know whether merchandise is sold at list price in any particular location or at any particular time. “YOU SAVE” reflects the difference between our price and the estimated market price shown. Because the list price may differ from actual retail prices in your area, you may not realize a savings of this amount and may wish to compare prices from other retailers prior to purchase.

All requests for technical service and support should be made directly to the manufacturer in accordance with the manufacturer’s terms and conditions.

You agree to indemnify and hold harmless CDN and its parents, sister companies, subsidiaries, affiliates, service providers, other End Users, distributors, licensors, officers, directors, and employees from any claim or demand (including reasonable attorneys’ fees) made by any third party arising out of or related to your violation of these Terms of Use, your violation of any law or regulation, or your violation of any third-party right.

No delay or failure to take action under these Terms of Use constitutes a waiver by CDN of any provision. If any provision is invalid or unenforceable under applicable law, it will be enforced to the fullest extent possible (and severed if completely unenforceable), and the remaining provisions will remain in full force and effect. These Terms of Use bind and inure to the benefit of CDN’s permitted successors and assigns. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises. These Terms of Use are governed by the laws of the State of Texas without regard to conflict-of-laws principles. The sole and exclusive venue for any lawsuit arising out of or relating to this agreement shall be the Travis County Civil Courts of Travis County, Texas. These Terms of Use are personal to you and may not be transferred, assigned, or delegated. Any attempted transfer is null and void. CDN may freely assign these Terms of Use without consent or notice. These Terms of Use (including all documents expressly incorporated by reference) constitute the complete and exclusive agreement between CDN and you with respect to the subject matter hereof and supersede all prior oral or written understandings not specifically incorporated herein.

Because of the variety of items CDN sells, return eligibility may differ by item. The applicable return policy is indicated in the item description.

These policies may be changed from time to time and are effective immediately after posting on the Site. When using particular services on the Site, you agree you are subject to any posted policies or rules applicable to those services. All such posted policies or rules are incorporated by reference into this Agreement.
